Terms of Service
Effective date: 2026-05-17.
These Terms of Service (“Terms”) govern your access to and use of the website at filing.fyi and any related applications, APIs, and services (collectively, the “Service”). The Service is operated by Hootpods LLC, a Florida limited liability company (“Filing.fyi,” “we,” “us”).
Read these Terms carefully. They contain a binding arbitration agreement and class-action waiver (§16), important limitations of liability (§13–14), and a disclaimer that nothing on the Service is investment advice (§5).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a contract to use the Service. By using the Service you represent that you meet these requirements and that your use complies with all laws applicable to you.
2. Accounts
You may need to create an account to use certain features. You agree to:
- Provide accurate information and keep it current.
- Keep your credentials confidential and not share your account with anyone.
- Notify us immediately at security@filing.fyi of any unauthorized use.
You are responsible for all activity under your account. We may suspend or terminate your account at our discretion, with or without notice, for any reason, including suspected violation of these Terms, suspected fraud, abusive conduct, or to comply with law.
3. The Service — what it is and what it is not
Filing.fyi reads public SEC filings, market data, and other public sources, and presents:
- forensic scores computed by mechanical formulas (Beneish M-Score, Altman Z-Score, Piotroski F-Score, Gunning Fog Index, Loughran–McDonald tone, discounted-cash-flow estimates) from the company’s own filed numbers;
- verdict labels (currently: Deep Value, Fairly Valued, Watch, Red Flags) and directional chips derived by rules from those scores;
- synthesis prose describing the latest filing, generated by third-party large-language-model (“LLM”) providers from the filing text and the computed scores; and
- for paid subscribers, custom natural-language queries answered by LLM providers against an indexed filing, subject to quotas and refusal rules.
Synthesis prose and custom-query answers are AI-generated and may be wrong, incomplete, inconsistent, or fabricated (“hallucinated”). Forensic scores and verdict labels are mechanical and may be miscalibrated against current accounting standards or industries. No human analyst edits the synthesis prose or the scores before publication. Humans appear on the Service only as comment authors and as moderators of comments.
The Service is an information and education product. It is not, and is not intended to be:
- investment advice, personalized or otherwise;
- a recommendation, solicitation, or offer to buy, sell, or hold any security;
- the advice of a registered investment adviser, broker-dealer, certified financial planner, accountant, tax adviser, or attorney;
- a substitute for your own due diligence or the advice of a licensed professional.
We are not registered with the U.S. Securities and Exchange Commission, the Financial Industry Regulatory Authority, any state securities regulator, or any equivalent foreign body, and we do not hold ourselves out as such. We do not know your financial situation, tax position, time horizon, or risk tolerance, and nothing on the Service is tailored to your individual circumstances.
4. Verdict labels and forensic scores
Our verdict labels and directional chips are editorial categorizations computed from quantitative inputs (including the Beneish M-Score, Altman Z-Score, Piotroski F-Score, Gunning Fog Index, discounted-cash-flow estimates, multiples, and other public-source signals). They are not regulated ratings, and they are not the output of a credit-rating agency or proxy advisor.
- “Deep Value” does not mean the security is a bargain or that it will appreciate.
- “Fairly Valued” does not mean the security is priced correctly or that it is safe.
- “Watch” does not mean you should take any action.
- “Red Flags” does not mean fraud has occurred or that a company will fail.
The methods we use may contain errors, may be calibrated on historical data that no longer applies, and may produce inconsistent results across companies and industries. Use the Service as one input among many.
5. No investment advice — your acknowledgments
By using the Service, you specifically acknowledge and agree that:
- You will make your own investment decisions or consult a licensed professional.
- You will not rely on the Service as the sole basis for any trade or financial decision.
- Past performance does not predict future results.
- Pricing data shown on the Service is delayed at least fifteen (15) minutes, sourced primarily from
yfinance, and is provided for educational purposes only. Do not rely on it for trade execution. - Investing in publicly traded securities involves risk, including the possible loss of principal.
- Outputs of LLMs can be wrong, incomplete, out of date, internally inconsistent, or fabricated (“hallucinated”). Always verify against the underlying filing before acting.
We may decline to answer any query that appears to seek personalized investment advice, and our custom-query feature includes built-in refusals for such prompts.
6. Acceptable use
You agree not to, and not to attempt to:
- Use the Service for any unlawful purpose or in violation of any applicable law (including securities laws, market-manipulation laws, money-laundering laws, sanctions, and export controls).
- Use the Service to engage in or facilitate market manipulation, “pump-and-dump” schemes, coordinated trading, or insider trading.
- Use the Service to provide personalized investment advice to others without proper licensing.
- Reverse-engineer, decompile, or attempt to extract source code or models.
- Scrape, crawl, or systematically download data from the Service except as expressly permitted, or use bots, harvesters, or automated tools to access the Service.
- Bulk-export, redistribute, or commercially exploit price data or any other data sourced from
yfinance, Polygon, FRED, SEC EDGAR, or other third-party providers in violation of those providers’ terms. - Access the Service through any means other than the interfaces and protocols we provide.
- Bypass, disable, or interfere with our security, rate-limiting, paywall, Turnstile, moderation, or access-control mechanisms.
- Submit content that is unlawful, defamatory, fraudulent, infringing, obscene, harassing, hateful, that doxes or harasses any person, or that contains malware.
- Misrepresent your position (long, short, or none) in a security about which you are commenting.
- Use the Service to develop a competing product or to train a machine-learning model.
- Resell, sublicense, or use the Service or a Filing.fyi account on behalf of any other person or entity without our written consent.
We may investigate and take any action we believe appropriate to enforce these rules.
7. User content
7.1 Your content
“User Content” means anything you submit to the Service — comments, position disclosures, watchlist entries, custom queries, feedback. You retain ownership of your User Content. By submitting it you grant Filing.fyi a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to host, store, reproduce, modify (for technical purposes, formatting, and excerpting), publish, publicly display, distribute, and otherwise use the User Content in connection with operating, promoting, and improving the Service. This license survives termination with respect to User Content already published.
You represent and warrant that:
- You own or control all rights to your User Content.
- Your User Content does not infringe any third party’s rights and does not violate any law.
- Your position disclosure is accurate at the moment of submission.
7.2 Moderation
We may, but are not obligated to, monitor, screen, edit (for formatting only), reject, remove, shadow, or restrict access to any User Content for any reason or no reason, at any time, without notice. Moderation decisions are final. We are a private platform; First Amendment / free-speech protections that apply to government action do not apply to us.
7.3 No editorial alteration of substance
Our policy is not to edit the substance of a user comment. We will only approve, reject, shadow, or remove. If we approve a comment, that does not mean we endorse it.
7.4 Feedback
If you submit suggestions, ideas, or feedback, you grant us an unrestricted, royalty-free, perpetual right to use them for any purpose without compensation or attribution.
8. Intellectual property
Filing.fyi, its name, logo, the verdict-label taxonomy, the design system, the editorial framing, all software, all UI text, all charts, all data compilations, and the selection and arrangement of public-source data are owned by Hootpods LLC or its licensors and are protected by U.S. and international intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial research and education, subject to these Terms. No other rights are granted by implication, estoppel, or otherwise.
Filings, financial data, and market data sourced from public providers (including SEC EDGAR, yfinance, FRED, and Polygon) remain subject to those providers’ terms. We make no claim of ownership over the underlying public data.
9. Copyright (DMCA)
Hootpods LLC has designated an agent to receive notifications of claimed infringement under 17 U.S.C. §512(c)(2). Our designated agent is registered with the United States Copyright Office under registration number DMCA-1072901; the public-directory record is available at the U.S. Copyright Office’s DMCA Designated Agent Directory.
If you believe that material on the Service infringes your copyright, please send a notice that complies with 17 U.S.C. §512(c)(3) to our designated agent at dmca@filing.fyi. The notice must include:
- A physical or electronic signature of the owner or authorized agent.
- Identification of the copyrighted work claimed to be infringed.
- Identification of the material claimed to be infringing and where it is located on the Service (URL).
- Your contact information.
- A statement that you have a good-faith belief that the use is not authorized.
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act for the owner.
We may remove material claimed to infringe and we may terminate accounts of repeat infringers. Counter-notifications may be sent to the same address.
10. Subscriptions, fees, and refunds
10.1 Plans
Free and paid plans are described on our /pricing page. Paid plans currently cost $15/month or $144/year (annual prepaid). Prices, features, and quotas are subject to change with reasonable notice; for active paid subscribers, price changes will take effect on the next renewal.
10.2 Billing
Payments are processed by Stripe. By subscribing you authorize us to charge your payment method automatically on a recurring basis until you cancel, including any applicable taxes. If a payment is declined we may suspend access until the issue is resolved.
10.3 Cancellation
You may cancel at any time from your account page. Cancellation takes effect at the end of the current billing period. You retain access through that period. Cancellation does not entitle you to a prorated refund.
10.4 Refunds
Paid subscriptions are non-refundable except where required by law or in our sole discretion. If you believe you were billed in error, email billing@filing.fyi within 30 days of the charge and we will investigate.
10.5 Free features
Certain features — including, but not limited to, all data fields derived from yfinance — are made available for free and will not be placed behind a paywall while sourced from yfinance. We do not guarantee that any specific feature will remain free, available, or operate without interruption.
10.6 Quotas
Paid features (including custom natural-language queries against filings) are subject to fair-use quotas displayed in the product. Quotas may change. We may suspend or rate-limit accounts that exceed quotas or that we believe are abusing the Service.
11. Affiliate links
The Service contains affiliate links, including to Amazon. See our /legal/affiliate-disclosure page for details. We may earn a commission on qualifying purchases at no additional cost to you.
12. Third-party services and content
The Service relies on third-party services (including those listed in our Privacy Policy) and links to third-party content. We do not endorse, control, or assume responsibility for any third-party service or content. Your use of any third-party service is governed by that party’s terms and privacy notice.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.
To the maximum extent permitted by law, Filing.fyi and Hootpods LLC, and our officers, members, employees, agents, contractors, partners, and licensors (collectively, the “Filing.fyi Parties”), expressly disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation:
- warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
- warranties that the Service will be uninterrupted, secure, error-free, accurate, complete, current, reliable, or free of viruses or harmful components;
- warranties regarding the accuracy, completeness, or reliability of forensic scores, verdict labels, summaries, LLM-generated text, prices, or other data;
- warranties that the Service is suitable for any particular purpose, including investment decision-making.
You assume all risk of using the Service.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE FILING.FYI PARTIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST INVESTMENT GAINS, INVESTMENT LOSSES, TRADING LOSSES, LOST DATA, LOST GOODWILL, LOSS OF REPUTATION, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE).
IN NO EVENT WILL THE FILING.FYI PARTIES’ AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you. In such jurisdictions our liability is limited to the greatest extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless the Filing.fyi Parties from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or any law; or (d) your violation of any third-party right. We may, at our option, assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us.
16. Governing law, arbitration, and class-action waiver
16.1 Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles, and to the extent applicable, the laws of the United States.
16.2 Binding arbitration
Any dispute, claim, or controversy arising out of or relating to the Service or these Terms (a “Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, except as modified here. The arbitration will be conducted by a single arbitrator. The seat of arbitration will be Miami-Dade County, Florida, although you may elect to participate by telephone or videoconference. The arbitrator’s decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Either party may seek interim injunctive relief in court to protect intellectual-property rights pending arbitration. Small-Claims-Court actions may also be brought as an alternative to arbitration, as long as the action remains in that court and on an individual basis.
16.3 Class-action waiver
You and Filing.fyi each waive the right to bring or participate in any class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative proceeding. If this class-action waiver is held unenforceable as to any claim, that claim will be severed and proceed in court; the rest of these arbitration provisions will remain in force.
16.4 Opt-out
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@filing.fyi with your account email and the statement “I opt out of arbitration.” Opting out does not affect any other provision of these Terms.
16.5 30-day informal-resolution period
Before initiating arbitration, you agree to first contact us at legal@filing.fyi with a written description of your Dispute and give us 30 days to attempt a resolution.
17. Termination
You may stop using the Service at any time and delete your account from your account page. We may suspend or terminate your access to all or part of the Service at any time, with or without cause and with or without notice. Upon termination:
- Your right to use the Service ends.
- We may delete your account data subject to the retention rules in our Privacy Policy.
- Sections that by their nature should survive termination (including §§5, 7.1, 8, 9, 13, 14, 15, 16, 17, 18, 19) survive.
18. Changes to the Service and to these Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may revise these Terms by posting the updated version with a new “Last updated” date. Material changes will be communicated to subscribers by email. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms. If you do not accept the revised Terms, stop using the Service.
19. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and the Affiliate Disclosure, are the entire agreement between you and Filing.fyi.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms freely.
- No agency. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship.
- Notices. We may give notice by email to the address on your account or by posting on the Service. You may give us notice at legal@filing.fyi.
- Force majeure. Neither party is liable for delays or failures due to events beyond reasonable control.
- Compliance with export and sanctions laws. You may not use the Service from any jurisdiction subject to a comprehensive U.S. embargo, and you represent that you are not on any U.S. sanctions list.
- Users in California: Under California Civil Code §1789.3, California users are entitled to know that they may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 1625 N. Market Blvd., Suite N-112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.
